Terms of Service
Terms governing the use of our website, products and services.
These Terms of Service ("Terms") apply to your use of the Teleios Software Solutions website and, unless a separate written agreement states otherwise, services and products supplied by Teleios Software Solutions ("Teleios", "we", "us" or "our"). By using the website or engaging Teleios for a project or service, you agree to the Terms that apply to that interaction.
Teleios Software Solutions is a business name used by a sole proprietorship operating in Sri Lanka. A quotation, invoice, proposal, statement of work, product licence or signed agreement may contain additional terms. If there is a conflict, the specific written agreement for the relevant service will take priority to the extent of the conflict.
1. Services
Teleios may provide custom software development, websites, web applications, e-commerce websites, mobile applications, POS and billing systems, inventory and business management systems, AI-related solutions, IT services, installation, training, maintenance and related digital services. The exact deliverables, features, technologies, support and price will be described in the applicable quotation or project agreement.
2. Website Use
You may use our website only for lawful purposes. You must not attempt to gain unauthorised access to systems, interfere with website operation or security, distribute malicious code, submit unlawful or infringing material, or copy and misuse website content without permission.
3. Quotations and Project Scope
A quotation is based on the requirements and assumptions available when it is prepared. Unless stated otherwise, it is valid for the period shown on the quotation. A project begins when the parties have accepted the quotation or other written scope and any required initial payment has been received. The agreed scope should identify relevant features, deliverables, exclusions, dependencies, price and estimated timeline.
Any feature, integration, design revision, data migration, report, additional user, installation or other work outside the agreed scope may be treated as a change request and may require a revised price and timeline.
4. Pricing, Taxes and Third-Party Charges
Website prices may be indicative, starting, package or promotional prices and may not represent the final price for every project. Unless the quotation expressly includes them, prices exclude domain registration, hosting, premium themes or plugins, software licences, payment gateway fees, SMS or messaging charges, cloud services, hardware, travel and other third-party costs. Applicable taxes or statutory charges will be treated as stated in the quotation or as required by law.
5. Promotions
Promotional offers may be subject to validity dates, eligibility, package limitations and other conditions. Unless expressly stated, promotions cannot be combined with other discounts. A promotion does not change the scope or warranty of a purchase unless the offer says so in writing.
6. Payments
Payment milestones, deposit requirements and due dates will be stated in the quotation or invoice. Teleios may require an advance payment before scheduling or commencing work. Payments may be linked to milestones, delivery or completion. If an undisputed payment is overdue, Teleios may give notice and suspend affected work, access or delivery until the outstanding amount is resolved, where permitted by the agreement and applicable law. Suspension may affect delivery dates.
7. Customer Responsibilities
You agree to provide accurate requirements, timely feedback, approvals, content, logos, images, product data, access credentials and other materials reasonably required for the project. You are responsible for ensuring that materials you supply may lawfully be used and do not infringe another person's rights. You must maintain the confidentiality of your accounts and credentials and promptly tell us about suspected unauthorised access.
8. Changes and Approvals
Changes to requirements after approval may affect price, delivery dates and previously completed work. Teleios will explain material changes and, where appropriate, provide an additional quotation or written change request for approval before carrying out the additional work. Delays in customer feedback, content or approvals may extend the project schedule.
9. Delivery, Testing and Acceptance
Delivery method and target dates will be set out in the project agreement. Where a testing or review period is specified, the customer should test the deliverables during that period and provide a written list of reproducible issues against the agreed scope. Teleios will address verified defects in accordance with the agreed support or warranty terms. New features, changed requirements and issues caused by third-party systems are not automatically defects. If no acceptance period is stated, the parties should agree a reasonable review process in writing.
10. Third-Party Services
A project may depend on domain registrars, hosting companies, cloud platforms, payment gateways, APIs, Google services, messaging platforms, open-source software or other external providers. Such services are governed by their own terms, availability and pricing. Teleios is not responsible for outages, policy changes, price changes or failures caused by independent providers, but will reasonably assist within the agreed scope where possible. Third-party charges are payable by the customer unless included in writing.
11. Hardware and Infrastructure
Computers, printers, barcode scanners, cash drawers, routers, networking equipment, UPS units, internet connections, hosting, domains and other infrastructure are included only if expressly listed in the quotation. Compatibility may depend on hardware models, operating systems, drivers, network configuration and third-party software.
12. Intellectual Property and Licence
Each party retains ownership of intellectual property it owned before the project. Unless the parties agree otherwise in writing, Teleios retains rights in its pre-existing software, reusable components, libraries, frameworks, tools, templates, development methods and general know-how. The customer receives only the rights to use the deliverables that are expressly granted in the quotation, licence or project agreement.
Custom-developed deliverables may be assigned or licensed to the customer only as expressly stated in the written agreement and subject to payment conditions and third-party licences. Open-source and third-party components remain subject to their respective licence terms. Nothing in these Terms transfers ownership of a third-party component that Teleios does not own.
13. Source Code
Source code, repositories, build files, database scripts, deployment instructions and technical documentation are included only where expressly stated in the quotation or project agreement. If source code is included, the agreement should identify what will be delivered, when it will be handed over and any excluded proprietary or third-party components.
14. Hosting, Domains and Renewals
Domain and hosting services are subject to provider availability, renewal dates, acceptable-use policies and pricing. Unless the quotation states otherwise, the customer is responsible for renewing domains, hosting and other recurring services and for keeping payment methods and account details current. A lapse or suspension by a provider may cause website or system downtime.
15. Support, Maintenance and Warranty
Support hours, response targets, maintenance services, warranty duration and exclusions depend on the product purchased and the written quotation or support agreement. A warranty does not automatically include new features, training beyond the agreed scope, data entry, third-party subscription fees, hardware repair, network troubleshooting or problems caused by unauthorised changes, misuse or unsupported environments. See our Software Support & Warranty Policy.
16. Backups and Customer Data
The customer is responsible for maintaining appropriate, tested backups unless backup services are expressly included in the agreement. Where Teleios provides backup services, the scope, frequency, retention, storage location and restoration arrangements should be stated in writing. Customers should regularly verify that backups can be restored. Teleios does not guarantee recovery of data where backup services were not included or where a failure is outside the agreed backup scope.
Customer business data remains the customer's data, subject to third-party rights and applicable law. Teleios may access or process such data only as reasonably necessary to provide the agreed services, support, security or other documented instructions.
17. Confidentiality
Each party should protect non-public business, technical and project information received from the other party and use it only for the relevant business relationship. This does not apply to information that is public through no breach, already lawfully known, independently developed, received lawfully from another source or required to be disclosed by law. The parties may agree additional confidentiality or non-disclosure terms for a particular project.
18. Portfolio and Publicity
Teleios may display general descriptions, screenshots, videos or other project material in its portfolio only where it has permission or another lawful basis to do so. We will not intentionally publish confidential customer information, credentials, personal data or commercially sensitive content as portfolio material without appropriate authorisation. A customer who requires a project to remain confidential should raise this before the project begins and obtain written confirmation.
19. Disclaimers
We make reasonable efforts to keep website information accurate, but descriptions, prices, availability and features may change. Website content is not a binding project quotation unless expressly stated. Unless a written agreement expressly provides otherwise, no particular business result, sales level, search ranking, uninterrupted availability or compatibility with every device or third-party service is guaranteed.
20. Liability
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited. To the extent permitted by applicable law and subject to the specific project agreement, neither party will be liable to the other for indirect or consequential loss that was not reasonably foreseeable. Any agreed liability cap, exclusions or remedies should be set out in the relevant written agreement and will apply only to the extent permitted by law.
21. Force Majeure
Neither party will be responsible for delay caused by events reasonably beyond its control, such as natural disasters, major power or network failures, government action, civil disturbance, cyber incidents, hosting or platform outages, or other events that could not reasonably be prevented. The affected party should notify the other where reasonably practicable and take reasonable steps to reduce the impact.
22. Suspension and Termination
A project or service may be suspended or terminated in accordance with the relevant quotation or written agreement. Where no process is specified, the parties should discuss the issue in good faith and provide reasonable notice where practicable. Amounts due for work completed, services provided and approved non-cancellable third-party commitments may remain payable, subject to the agreement and applicable law. Cancellation and refund details are set out in our Refund & Cancellation Policy.
23. Complaints and Disputes
If you have a concern, please contact us first with the relevant quotation, invoice or project reference and a clear description of the issue. We will make reasonable efforts to review and resolve the matter. Nothing in this section removes any rights or remedies available under applicable consumer or other laws.
24. Governing Law
These Terms are intended to be governed by the laws of Sri Lanka, subject to mandatory legal protections and any valid written agreement between the parties. Any dispute will be handled by a competent forum in accordance with applicable Sri Lankan law.
25. Changes to These Terms
We may update these Terms from time to time. The current version will be published on this page with a revised update date. Changes will not retrospectively alter a signed project agreement unless the parties agree in writing or applicable law requires otherwise.
